1 Parties and acceptance
#The provider is [LEGAL_NAME] IKE, registered at [REGISTERED_ADDRESS], GEMI [GEMI], VAT number [VAT_ID], contact [LEGAL_CONTACT], trading as Meteorack (“we”). The customer is the person identified in the order (“you”). An organisation's representative must have authority to bind it. The agreement starts upon recorded acceptance of this version and order confirmation. Visiting our website alone does not accept a services contract.
2 Documents and eligibility
#The agreement comprises the order, these Terms, the Acceptable Use Policy and, when we process data on your behalf, the DPA. The DPA prevails on processing issues; mandatory law prevails over all documents. The Privacy Policy gives information and does not replace a lawful processing basis. [CUSTOMER_ELIGIBILITY: business only or also consumers; decide before publication]. B2B clauses 13 and 14 do not apply to consumers. Consumer admission requires a completed clause 17 annex and corresponding purchase flow.
3 Scope and service level
#We provide only services specified in the order: cloud/WordPress hosting, apps, databases, M3/Drive, customer Auth, Copilot, Edge or domains. It specifies capacity, prices, region, support, managed/unmanaged responsibilities and any backups/SLA. We promise no particular uptime, zero data loss, recovery time or certification unless expressly agreed and substantiated. Previews and trial features are labelled before use and do not remove rights that cannot lawfully be excluded. New products may require an annex within clause 6 Products under these Terms and updated notices before activation.
4 Accounts and customer security
#Keep details accurate, protect passwords/API keys and control authorised users and permissions. Notify [email protected] without undue delay of a suspected breach. You maintain configurations and software outside the agreed managed service. Your responsibilities do not transfer our fault or statutory security obligations to you. Your export/backup strategy supplements the agreed backup services.
5 Content and licences
#You retain rights in your content, applications and data. You grant us a limited right to host, copy, transmit and technically process them only to provide, protect and support the service under the DPA and law. You must have rights and lawful instructions for submitted material. These Terms grant no right to sell your content or train a general AI model on it.
6 Products
#For WordPress/apps, the order specifies updates, plugins, licences and recovery responsibilities. For databases/M3 it specifies export formats, limits and backups. Customer Auth concerns your end-user data and differs from the Meteorack Account. Edge/domains do not guarantee name availability, trademark rights or DNS ownership without verification. [DOMAIN_REGISTRAR_TERMS: registrar identity, renewal, expiry and transfer if registration is offered].
7 Copilot and third-party integrations
#Copilot suggestions may be inaccurate. Review outputs and authorise actions requiring your approval. Do not use it as the sole basis for decisions with significant legal effects without suitable safeguards and a lawful basis. Before use with personal/confidential data, complete [AI_PROVIDERS], purposes, retention, transfers and training settings in the DPA. This clause does not establish a current no-training configuration at unknown providers. A selected third-party service may have its own agreement; we disclose it before activation without excluding our obligations.
8 Prices and payments
#The order specifies currency, VAT, metered units, billing period, due dates, renewals, credits and any fixed term. We charge no undisclosed item. Proposed advance notice is [PRICE_NOTICE: 30 days for approval] for future increases, with no retrospective increase of agreed fixed-term prices. Raise good-faith billing disputes at [BILLING_CONTACT]; we review measurement evidence and correct errors. Credits do not limit mandatory refund rights.
9 Late payments
#We notify you of overdue sums, correction opportunities and specific consequences before ordinary service restrictions. [DUNNING_POLICY: attempts, cure period, restriction of new deployments or service, retention and reactivation]. “After the fourth failure, block new deployments and keep sites running” is an unapproved proposal. We do not use unresolved good-faith disputes as an automated deletion trigger. Account restrictions do not circumvent lawful retrieval/switching rights.
10 Confidentiality and personal data
#Each party protects the other's non-public information, permits access only as needed and uses it for the agreement. Exceptions cover information already lawfully known, public without breach or independently developed. Compulsory disclosure is limited lawfully and preceded by notice where permitted. These duties survive while information remains confidential. The DPA governs customer data and the Privacy Policy our own controller activities.
11 Suspension and termination
#We may restrict the minimum necessary service for substantiated illegality, serious AUP breach, immediate security risk, binding lawful orders or overdue payment under clause 9. Notice and a reasonable correction opportunity normally precede restriction. Immediate action is possible where delay creates serious danger or law requires it. We give specific reasons and a review route where lawful, reassess necessity and restore service when the reason ends. Termination for material breach follows [CURE_PERIOD], except irremediable or urgent cases. Customers may cancel renewal/terminate through [CANCELLATION_METHOD] under the order and mandatory rights.
12 Switching export and end of service
#For data processing services within the Data Act, we support switching providers, moving to on-premises infrastructure or, where applicable, parallel use. Notice does not exceed two months; transition normally takes up to 30 calendar days after the notice period. If technically unfeasible, within 14 working days of the request we justify this and specify an alternative transition of no more than seven months. Customers may extend the transition once for a period they consider more appropriate. We maintain continuity and security during transition and supply legally required information/reasonable assistance. Underlying duration, termination and charges must preserve these rights.
Before contracting, we specify [SWITCHING_INVENTORY]: all exportable data and digital assets, formats, interfaces, IP/trade-secret exclusions that do not prevent mandatory switching, and technical limitations per service. Retrieval remains available for at least 30 calendar days after the agreed transition. Earlier reduced switching charges may not exceed directly related costs; from 12 January 2027 no switching charges, including related data egress, apply. Ordinary service charges and lawful, agreed early-termination fees are distinguished clearly and cannot disguise switching charges. Completing/implementing the inventory is a blocker, not a claim that all exports work today.
After retrieval we return or erase data under the DPA, your instructions and lawful duties. [ACCOUNT_ERASURE: 30 or 90 days for decision] concerns a separate account policy and does not shorten lawful retrieval. Today's deletion request deactivates an identity; it does not implement permanent purge. Locked backup versions have DPA-described limitations requiring lawful assessment, not a general exemption from erasure.
13 Proposed B2B liability
#PROPOSAL for businesses only: each party's aggregate contractual liability is limited to fees paid or payable for the affected service during the preceding 12 months [LIABILITY_CAP: lawyer/user approval and suitable free-service floor]. Any exclusion of indirect loss/lost profits applies only as lawful and does not classify every data loss as excluded. Caps/exclusions do not cover intentional misconduct, fraud, gross negligence, death/personal injury for which a party is liable, non-excludable statutory liability, mandatory GDPR compensation claims or regulator powers. Lawful service fees remain payable. [CONFIDENTIALITY_
14 Proposed B2B third-party indemnities
#PROPOSAL: a business customer covers reasonable proven third-party claims arising directly from its unlawful content or knowingly unlawful instructions, excluding our fault. Reciprocal customer protection is proposed for IP infringement by our supplied service. Require prompt notice, defence control with information, reasonable cooperation and no settlement imposing an obligation/admission on another party without consent. Scope/caps need specific approval; no general transfer of fines or immunity.
15 Performance and events beyond control
#We supply services with the reasonable care required by law and the agreed description. We make no unverified guarantee of uninterrupted operation or suitability for critical applications. Events beyond reasonable control excuse only affected delay, with notice, mitigation and preservation of mandatory rights/security. Ordinary technical faults or resource shortages are not automatically force majeure. [PROLONGED_OUTAGE_EXIT: reasonable termination and refund for unprovided prepaid services].
16 Changes communications and law
#Proposed notice is [TERMS_NOTICE: 30 days] for material prospective changes, with clear explanation and a right to terminate before materially adverse changes apply. Urgent legal/security changes may apply earlier with explanation. No retrospective waiver or presumed consent to unnecessary processing. Notices use verified account email and [LEGAL_CONTACT]. Greek law governs. B2B jurisdiction is [GREEK_COURT_CITY]. Consumers retain mandatory protections of their habitual residence and lawful jurisdiction. Invalid clauses are not replaced by equally unfair ones. [CONTROLLING_LANGUAGE] is outstanding.
17 Consumer annex to complete
#This is not a completed consumer offer. If consumers are admitted, complete service characteristics/
